1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "User" or "Dealer") and AutoRevs Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at T Nagar, Chennai – 600017, Tamil Nadu, India.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.

2. Eligibility

To use AutoRevs Services, you must:

• Be at least 18 years of age
• Be a duly registered business entity or individual operating a vehicle dealership in India (or be an authorised representative thereof)
• Have the legal capacity to enter into a binding agreement under applicable Indian law
• Not be barred from receiving services under applicable law
• Provide accurate, complete, and current registration information

AutoRevs reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.

3. User Accounts

3.1 Account Registration

You must register for an account to access the platform. You agree to provide accurate, complete registration information including your business name, GSTIN, and a valid email address. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

• You are solely responsible for all activities that occur under your account
• You must immediately notify AutoRevs at [email protected] upon becoming aware of any unauthorized use of your account
• You may not share your account credentials with any third party outside your organisation
• AutoRevs will never ask for your password via email or phone

3.3 Team Members

You may add team members (sales staff, managers) to your account within the limits of your subscription plan. You are responsible for ensuring all team members comply with these Terms.

4. Services and Features

AutoRevs provides the following core services (collectively, "Services"):

• Dealer Management System (DMS): Inventory management, document management, sales tracking
• Customer CRM: Lead capture, pipeline management, follow-up automation
• Advertisement Tools: Multi-platform listing syndication, ad campaign management, lead retrieval via Meta API, Google Ads API, and other platform APIs
• Website Builder: No-code dealership website creation with inventory sync
• Analytics Dashboard: Sales performance, campaign analytics, team reporting

AutoRevs reserves the right to modify, suspend, or discontinue any feature at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

5. Meta Platform Usage — Developer Compliance Terms

5.1 Your Responsibilities Regarding Meta

• You must have a valid, active Meta Business Account and Facebook Page to use AutoRevs Advertisement Tools
• You grant AutoRevs permission to access your Meta accounts only to the extent necessary to provide the Advertisement Tools feature. You may revoke this permission at any time via your Meta App Settings
• You must comply with Meta's Platform Terms, Meta's Developer Policies, Meta's Advertising Standards, and all applicable Meta community standards
• You are solely responsible for the content of advertisements created and submitted via AutoRevs. AutoRevs is not responsible for Meta's approval or rejection of any advertisement
• You must not use AutoRevs to run advertisements that violate Meta's policies, including but not limited to: discriminatory targeting, misleading claims, prohibited products, or deceptive practices

5.2 Prohibited Uses via Meta Integration

You must not use AutoRevs's Meta integration to:

• Collect Meta user data beyond what is necessary for your stated business purposes
• Sell, transfer, or sublicense Meta user data to any third party
• Use Meta data for purposes unrelated to improving the user experience of your dealership's advertising
• Build profiles of Meta users for purposes not disclosed to them
• Use Meta's Graph API data to make decisions on housing, employment, credit, or insurance in a discriminatory manner
• Circumvent Meta's privacy controls or violate Meta user expectations
• Scrape or extract data from Meta beyond what is returned via authorised API calls

5.3 Lead Data from Meta

• Lead data obtained via Facebook Lead Ads / Instagram Lead Forms is available only to your account for CRM purposes
• You must not use lead data to send unsolicited communications or spam
• You must honour any data deletion request from a lead that originated from Meta, which you may process via [email protected]
• AutoRevs provides a User Data Deletion callback URL as required by Meta's Platform Policy: any deletion request from Meta will result in that user's data being deleted from AutoRevs systems within 30 days

5.4 Meta Ad Spend

Any advertising spend on Meta's platforms is billed directly by Meta to your Meta Business account. AutoRevs does not process Meta ad spend on your behalf and is not responsible for any charges incurred on your Meta account.

5.5 Suspension of Meta Features

AutoRevs may suspend access to Meta-integrated features if we are notified by Meta of a policy violation, if your Meta account is suspended, or if we determine that your use poses a legal or reputational risk to AutoRevs or Meta.

6. Acceptable Use Policy

You agree to use AutoRevs only for lawful purposes. You must NOT:

• Upload, transmit, or distribute any content that is illegal, fraudulent, defamatory, obscene, or violates any third party's rights
• Use the platform to list vehicles with false, misleading, or fabricated information
• Attempt to gain unauthorized access to AutoRevs systems, servers, or other users' accounts
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the AutoRevs platform
• Circumvent, disable, or interfere with any security features of the platform
• Use automated scripts, bots, or scrapers to access the platform or extract data
• Introduce malware, viruses, trojan horses, or any other malicious code
• Misrepresent your identity, business, or affiliation
• Engage in any activity that constitutes a violation of consumer protection laws, motor vehicle regulations, or RTO compliance requirements
• Use AutoRevs to launder money or engage in financial fraud
• Resell, sublicense, or make the Services available to third parties without written consent from AutoRevs

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

7. Subscription, Billing, and Payment

7.1 Plans and Fees

AutoRevs offers subscription plans (Starter, Professional, Enterprise) as detailed on our Pricing page. All fees are in Indian Rupees (INR) and are exclusive of applicable taxes (GST at 18%).

7.2 Billing Cycle

• Monthly plans: Billed every 30 days from the date of subscription
• Annual plans: Billed once per year with a 20% discount applied
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date

7.3 Payment Processing

Payments are processed securely via Razorpay (PCI-DSS compliant). Accepted methods: UPI, Net Banking, Credit/Debit Cards, and bank transfers. AutoRevs does not store card or UPI details.

7.4 Free Trial

New accounts receive a 14-day free trial with full Professional plan access. No credit card is required during the trial. At the end of the trial, you may choose a plan or your account will be downgraded to a read-only state.

7.5 Refund Policy

• 30-day money-back guarantee: If you are not satisfied within 30 days of your first paid subscription, contact us for a full refund
• After 30 days, subscriptions are non-refundable except where required by applicable law
• Annual plan refunds after 30 days: prorated refund for unused months may be considered at AutoRevs's sole discretion
• Refunds are not provided for partial months or for accounts terminated due to policy violations

7.6 Price Changes

AutoRevs may change subscription prices with at least 30 days' notice. Price changes will not affect your current billing cycle and will apply at your next renewal.

7.7 Overdue Payments

If payment fails, AutoRevs will retry for 5 days. After 5 failed attempts, your account may be suspended. Data is retained for 30 days post-suspension to allow reactivation. After 30 days, the account may be permanently deleted.

8. Intellectual Property

8.1 AutoRevs IP

The AutoRevs platform, including its software, design, user interface, trademarks, logos, documentation, and all underlying technology, is owned by AutoRevs Technologies Private Limited and is protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform solely as permitted under these Terms.

8.2 User Content

You retain ownership of all content you upload to AutoRevs (vehicle photos, documents, inventory data, customer records). By uploading content, you grant AutoRevs a limited licence to host, store, display, and process that content solely for the purpose of providing the Services to you.

8.3 Feedback

If you provide suggestions, feedback, or ideas about AutoRevs, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback to improve our Services without any obligation to compensate you.

9. Your Data

You own your data at all times. AutoRevs processes your data only as a data processor acting on your instructions (except where we act as data controller for our own business purposes as described in our Privacy Policy).

• You may export all your data at any time from the platform dashboard
• Upon account cancellation, you have 30 days to export your data
• After 30 days post-cancellation, AutoRevs may delete your data subject to legal retention requirements
• AutoRevs does not use your inventory data, customer data, or business data to train AI/ML models or for any purpose outside Service delivery without your consent

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation survives termination of these Terms for a period of 3 years.

AutoRevs employees and contractors are bound by confidentiality agreements and are prohibited from accessing user data except as necessary to provide support or as required by law.

11. Third-Party Services and Integrations

AutoRevs integrates with third-party platforms including Meta, Google, OLX, CarDekho, Cars24, WhatsApp Business, and Razorpay. Your use of these integrations is subject to those third parties' terms and conditions:

AutoRevs is not responsible for the availability, accuracy, or conduct of any third-party service. We do not endorse and are not liable for any third-party products or services linked to or integrated with the AutoRevs platform.

12. Disclaimers and Warranties

To the fullest extent permitted by applicable law, AutoRevs disclaims all warranties including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the platform will be error-free, uninterrupted, or free of viruses or other harmful components
• That the results obtained from using the platform will be accurate or reliable
• That any errors in the platform will be corrected

AutoRevs does not guarantee the accuracy of market pricing data, lead quality from advertising platforms, or the outcome of any advertising campaigns run via our platform.

13. Limitation of Liability

AutoRevs's total cumulative liability to you for any claim arising under these Terms shall not exceed the total amount paid by you to AutoRevs in the 3 months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the form of action (contract, tort, negligence, or otherwise) and even if AutoRevs has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain types of damages. In such jurisdictions, AutoRevs's liability is limited to the minimum extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AutoRevs, its directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or third-party rights (including Meta's Platform Terms)
• Content you upload, transmit, or display through the platform
• Any misrepresentation made by you in connection with the Services
• Any dispute between you and your customers or third parties

15. Termination

15.1 Termination by You

You may cancel your subscription at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for the remaining period (subject to the 30-day money-back guarantee).

15.2 Termination by AutoRevs

AutoRevs may suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Violation of Meta's Platform Terms or any third-party service's policies
• Non-payment of subscription fees
• Fraudulent, abusive, or illegal activity
• Request by a competent legal or regulatory authority

AutoRevs will provide 14 days' notice for termination for non-material violations, allowing you time to cure the breach.

15.3 Effect of Termination

Upon termination: (a) your licence to use the platform ends immediately; (b) you lose access to your account and data; (c) AutoRevs will retain your data for 30 days during which you may request an export; (d) provisions of these Terms that by their nature should survive termination will do so, including Sections 8, 12, 13, 14, and 16.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

16.2 Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve it informally by contacting AutoRevs at [email protected]. If the dispute is not resolved within 30 days, the parties agree to submit to arbitration under the Arbitration and Conciliation Act, 1996 (India), conducted by a single arbitrator in Chennai, Tamil Nadu.

16.3 Jurisdiction

For any matter not subject to arbitration, the courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction.

16.4 Class Action Waiver

You agree to resolve disputes with AutoRevs on an individual basis and waive any right to bring or participate in any class action, class arbitration, or representative proceeding.

17. Changes to These Terms

AutoRevs may revise these Terms at any time. Material changes will be communicated:

• By email to the registered email address on your account, at least 14 days before the changes take effect
• By displaying a prominent notice within the platform dashboard
• By updating the "Last Updated" date at the top of this page

Your continued use of the Services after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must cancel your account before the effective date.

For Meta-specific data deletion requests (as required by Meta's Platform Policy), email [email protected] with subject "Meta Data Deletion Request". Requests will be processed within 30 days.
